My Business in Spain: the due diligence an Ibero-American investor needs before buying a business in Spain

Mi Negocio en España, a firm that advises entrepreneurs from Ibero-America who want to invest in a business in Spain, has launched a due diligence service to thoroughly review each business before purchase. Its objective: for the investor to know exactly what they are buying before signing.

Buying an operating business, often through a transfer, is one of the most common ways for those who want to start a business in Spain from abroad. It is also one of the most surprising. "Most of the problems we see were not hidden: they were in the paperwork, but no one reviewed them. It's not easy, but with data it's safe," explains César Gil from Mi Negocio en España.

What is reviewed before buying

The due diligence carried out by the firm combines a legal and a financial audit. Among the points analyzed are:
  • Real business turnover, cross-referenced with accounting and tax documentation, not just what the seller declares.
  • Debts and encumbrances, with suppliers, Social Security, or Tax Agency.
  • Licenses and permits, to confirm that the activity can continue operating with the new owner.
  •  Lease agreement for the premises, its duration, and the transfer conditions.
  • Staff situation, if any, and the obligations the buyer assumes.
"When a number doesn't add up, we tell the investor clearly, even if it means not buying. We prefer to lose a deal than for our client to lose their money," says Gil. The result is what the firm calls a Validated Asset: a business whose information has been verified before investing.

Investment and residency go hand in hand

For an investor from outside the European Union, the purchase of a business is linked to their migratory status. The usual route is the self-employed residence and work permit, which is applied for as a visa at the Spanish consulate in the country of origin. It requires a complete business plan with its viability, proof of professional qualifications for the activity, and the availability of two amounts: the investment needed for the business and the means for maintenance for the first year. Family members can join the permit holder through family reunification after the first year.

Who is this service for

The firm works with individual investors who have a minimum capital of 30,000 euros for the project. "We are transparent from the beginning: below that figure, it is very difficult to propose a solid investment in Spain," explains Gil.
